Non-Disclore. Non-compete and Formula Transfer of Rights agreements
Posted by victorme on July 6, 2019 at 2:13 amHello, I am having a new formulator doing a custom formula, does anybody have a template or know where can I get the proper legal documents commonly used when you outsource a formula such, NDA, Formula transfer and non compete?

Your formulator should have all of these legal documents for you to execute. If your formulator does not have these documents readily available, that should tell you something.

@MicroformulationThanks for your input, formulator actually refused to sign any kind of NDA, won’t be using him. I will be posting what I need in Requests / Opportunities and see if can find a formulator here to work on this formula.

If you we definitely going to sign a development contract then the formulator should have been willing to execute an NDA.
However, if there was uncertainty, perhaps that is why you got the refusal. From a formulator’s perspective, I rarely enter into NDA’s with people who do not ultimately become clients. The last thing I want is a multitude of NDA’s in existence with people with whom I never actually did business and who paid me no more consideration than just telling me their idea.

That’s not the case here, actually we had agreed on everything and we were ready to start today, but he just said he wouldn’t sign any NDA for his work so I cancelled the process with him. -

Indeed, now on the search for new formulator, just posted on Requests / Opportunities a brief overview of what I need.
